Alabama Specialty Products, Inc. Terms and Conditions

General Terms and Conditions:

• The terms and conditions listed herein shall apply to Alabama Specialty Products, Inc. (ASPI) and all of its divisions.
• The terms and conditions listed herein are not subject to verbal changes or other agreements unless approved in writing by ASPI.
• All quotations and agreements are contingent upon strikes, accidents, fires, floods, availability of materials and all other causes beyond the control of ASPI.
• Any typographical and stenographic errors in this document, in our quotations, in our literature, or on the www.alspi.com web site are subject to correction.
• Conditions not specifically stated herein shall be governed by established trade customs.
• Terms and conditions inconsistent with those stated herein which may appear on Purchaser's formal order will not be binding on ASPI.
• Product drawings, images, and technical specifications provided on the www.alspi.com web site, in our printed literature, or via written or electronic correspondence are the property of ASPI, and cannot be reproduced without written permission from ASPI.
• All information provided by ASPI is believed to be accurate. However, ASPI cannot be held liable for loss caused by errors or omissions in the information.
• Unless otherwise agreed upon in writing, all work is done in accordance with our standard policies and procedures, and in accordance with our ISO 9001 certified quality assurance program. A copy of our Quality Manual can be viewed at http://www.alspi.com/quality.pdf.
  

Quotations:

• All prices quoted by Alabama Specialty Products, Inc. are in U.S. Dollars unless otherwise specified in writing.
• Prices quoted are not subject to verbal change.
• Price quotes are valid for 30 days, unless otherwise specified in writing.
• When quotation specifies material to be furnished by the purchaser, ample allowance must be made for reasonable spoilage and material must be of suitable quality to facilitate efficient production.
• Charges for tooling and/or gauges do not convey ownership unless agreed upon in writing by ASPI.
• Prices quoted are based on costs and conditions existing on date of quotation and are subject to change by ASPI before final acceptance.

• Quoted items are subject to prior sale.
• Quoted items are subject to material availability.
• Delivery dates and quoted lead times are estimates and do not represent fixed or guaranteed dates.
  

Minimum Order:

• $100.00 for domestic orders.
• $300.00 for international orders.
  

Payment Options:

• ASPI accepts Visa, Master Card, American Express, and C.O.D.
• Cash, Check, or Money Order.
• ASPI offers Net 30 terms (for domestic orders only) from date of shipment, with approved credit.  Our credit application can be downloaded at http://www.alspi.com/creditapp.pdf
• Wire Transfers are accepted. There is a $20.00 fee for Wire Transfers.
  

Shipping:

• Domestic orders are F.O.B. Munford, AL.
• International orders are Ex-Work Munford, Al, U.S.A.
• Country of Origin: United States of America
• All orders are subject to a nominal packaging and handling fee.
• International orders are subject to a $75.00 documentation fee.
• If the customer does not specify a shipping method, ASPI will use the shipping method of its choice.
• International orders are shipped Freight Collect against the customers’ shipping account number.
• Domestic orders can be shipped Freight Collect or Prepay and Add.
  

Freight Damages & Shortages:

• If product is received from ASPI that has been damaged in shipping, keep all packaging material and contact the carrier. It is the customers’ responsibility to make claims for loss or damage in transit.
• Purchaser agrees to accept either overage or shortage not in excess of ten percent to be charged for prorate.
• Claims for shortages or overages must be made within 10 days after receipt of shipment.
  

Cancellations and Returns:

• All non-stocked, special order and custom items are Non-Cancelable and Non-Returnable.
• Canceling a scheduled order/release may cause a price adjustment to reflect actual usage.

• Partial cancellations or returns may be subject to a price adjustment if the original price was based on a quantity discount/price break.
• Return requests for stocked products are normally accepted when completed within 30 days.
• Returned products may be subject to a restocking fee.
• All returns must be pre-approved by an ASPI sales representative, and require a Return Merchandise Authorization (RMA) number.
• Returns are subject to receipt and inspection prior to credit being processed. Merchandise should be in the original cartons and in new condition.
  

Sales Tax:

• Alabama Specialty Products shall automatically charge and withhold the applicable sales tax for orders to be delivered to addresses within Alabama and Texas, unless you have a Certificate of Resale on file with Alabama Specialty Products.
• Each customer shall be solely responsible for all sales taxes, or other taxes, on orders shipped to any other state.

Patent and Copyright infringement:

Purchaser assumes liability for patent and copyright infringement when goods are made to Purchaser's specifications.

Product Liability:

Alabama Specialty Products' sole obligation for products that prove to be defective in material and/or workmanship will be for replacement, repair or refund of the purchase price. Alabama Specialty Products gives no warranty; either expressed or implied, and specifically disclaims all other warranties, including warranties for merchantability and fitness. In no event shall ASPI’s liability exceed the buyer's purchase price, nor shall ASPI be liable for any indirect or consequential damages. This warranty does not apply to products that have been subjected to misuse or alteration, nor does it apply to items that are consumable in nature.

The ASPI web site (http://www.alspi.com/) may contain links to other sites on the Internet that are owned and operated by third parties. You acknowledge that Alabama Specialty Products, Inc. is not responsible for the operation of or content located on or through any such site nor of any loss or hardship you may incur due to your visiting any of the sites via the links.

Jurisdiction and Venue:

You agree that any legal action brought against Alabama Specialty Products, Inc. shall be governed by the laws of the State of Alabama without regard to its conflict of law principles. You agree that the sole jurisdiction and venue for any litigation against ASPI shall be an appropriate federal or state court located in Talladega County Alabama.

Fraud:

Anyone attempting to commit fraud or any other criminal act through or gain access to Alabama Specialty Products' computer systems will be prosecuted to the fullest extent of the law.
